Acceptance of Terms
- By accessing or using SettleShop, a service provided by SettlePay (Tasweyat Teqneya) , you ("Merchant," "User," or "you") agree to be bound by these Terms and Conditions.
- If you do not agree with any part of these terms, you must not use our services.1
- These terms may be updated from time to time, and your continued use of SettleShop constitutes acceptance of any changes.
Description of Services
- SettleShop provides a platform that enables merchants to create and manage WhatsApp-based shops, utilize WhatsApp CRM tools, and implement WhatsApp marketing automation.
- The service includes, but is not limited to:
- Creation of a digital storefront within WhatsApp.
- Customer relationship management (CRM) features within WhatsApp.
- Marketing automation tools for WhatsApp messaging.
- Order management and processing.
- Integration with payment gateways (where applicable).
Merchant Responsibilities
- Accurate Information: You are responsible for providing accurate and up-to-date information regarding your business, products, and services.
- Compliance: You must comply with all applicable laws and regulations, including those related to e-commerce, data privacy, and marketing.
- Content: You are solely responsible for the content you create and distribute through SettleShop, including product descriptions, images, and marketing messages.
- Customer Service: You are responsible for providing customer support and addressing customer inquiries and complaints.
- Payment Processing: You are responsible for managing payment processing and ensuring secure transactions.
- Data Privacy: You are responsible for protecting the privacy of your customers' data in accordance with applicable data protection laws.
- Prohibited Activities: You must not engage in any illegal or unethical activities, including but not limited to:
- Selling prohibited or illegal products.
- Spamming or sending unsolicited messages.
- Distributing malware or viruses.
- Infringing on intellectual property rights.
- Misrepresenting your products or services.
- Adherence to Whatsapp Policy: You must adhere to all of the Whatsapp business policy.
SettlePay (Tasweyat Teqneya) Responsibilities
- Provide the SettleShop platform and related services as described.
- Maintain the platform's functionality and security.
- Provide reasonable technical support.
- Adhere to the white label agreement with Interakt.
Fees and Payment
- Fees for using SettleShop will be as described in your subscription agreement.
- Payment terms will be specified in your invoice or agreement.
- SettlePay (Tasweyat Teqneya) reserves the right to change fees and payment terms with prior notice.
Intellectual Property
- SettlePay (Tasweyat Teqneya) retains all rights to the SettleShop platform and its underlying technology.
- You retain ownership of your content, but grant SettlePay (Tasweyat Teqneya) a license to use your content for the purpose of providing the services.
Data Privacy and Security
- SettlePay (Tasweyat Teqneya) will handle your data and customer data in accordance with its privacy policy.
- You are responsible for implementing appropriate security measures to protect your data.
- You are responsible for adhering to all local and international data privacy laws.
Limitation of Liability
- SettlePay (Tasweyat Teqneya) will not be liable for any indirect, incidental, or consequential damages arising from your use of SettleShop.
- Our liability will be limited to the amount of fees you have paid for the services.
- SettlePay are not responsible for merchant content or actions.
Termination
- Either party may terminate the agreement with prior notice.
- SettlePay (Tasweyat Teqneya) may terminate your account immediately for violation of these terms.
- Upon termination, you must cease using SettleShop.
Governing Law and Dispute Resolution
- These terms will be governed by the laws of KSA.
- Any disputes will be resolved through dispute form submission over our website.
Modifications
- SettlePay reserves the right to modify these terms at any time. Merchants will be notified of changes.
